Terms of Use

1. Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and ERPRev Dashboard ProMax ("Company," "we," "us," or "our"), governing your access to and use of the ERPRev Dashboard ProMax platform, including all associated websites, applications, APIs, and services (collectively, the "Service") available at www.erprevpromax.com.

By creating an account, accessing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.

If you are using the Service on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" shall refer to both you individually and the entity you represent.

2. Description of Service

ERPRev Dashboard ProMax is an AI-powered business intelligence software-as-a-service (SaaS) platform designed for small and medium enterprise (SME) business owners who use ERPRev ERP software. The Service provides:

• Business Intelligence Dashboards — Real-time interactive dashboards across 10 functional domains including Financial, Sales, Inventory, Customers, Accounting, HR, Operations, Raw Materials, and Process Mining.
• 9 Intelligence Suites — 67 analytical engines providing composite health scores, anomaly detection, forecasting, and actionable insights across all business domains.
• AI-Powered Insights — On-demand analysis powered by ERPRev AI Engine, including smart alerts, cross-domain correlations, and morning briefings.
• Data Synchronization — Automated data ingestion from your ERPRev ERP system via API, with three-tier caching (Memcached, MariaDB, ERPRev API) for performance.
• Process Mining — Order-to-cash, procure-to-pay, and inventory workflow analysis with conformance checking and root cause detection.
• Multi-User Access — Role-based access control with four role tiers, per-tab permissions, and two-factor authentication.

The Service connects to your existing ERPRev account using API credentials you provide. We do not create, modify, or delete any data in your ERPRev system. The Service operates in a read-only capacity with respect to your ERP data.

3. User Accounts

3.1 Registration

To use the Service, you must create an account by providing accurate, current, and complete information including your name, email address, and a secure password. You agree to update your account information promptly if it changes.

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials, including your password, two-factor authentication recovery codes, and ERPRev API credentials. You agree to notify us immediately at security@erprevpromax.com if you suspect any unauthorized access to your account. We strongly recommend enabling two-factor authentication (2FA) for all accounts.

3.3 Account Roles

The Service supports four user roles: Admin, Manager, Analyst, and Viewer. The account administrator is responsible for assigning appropriate roles and permissions to team members. Each role has defined capabilities and access levels as documented in the Service help center. Administrators bear responsibility for the actions of all users they provision.

3.4 ERPRev Credentials

To connect the Service to your ERPRev account, you must provide valid ERPRev API credentials (account URL, API key, and API secret). These credentials are encrypted at rest using industry-standard AES-256-GCM encryption and are used solely to retrieve data from your ERPRev system. You represent that you have authorization to access the ERPRev data associated with the credentials you provide.

4. Subscription & Billing

4.1 Plans and Pricing

The Service is offered through subscription plans as described on our Pricing page. Pricing is subject to change with 30 days' prior written notice. Any price increase will take effect at the start of your next billing cycle following the notice period.

4.2 Billing Cycle

Subscriptions are billed in advance on a monthly or annual basis, depending on your selected plan. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

4.3 Payment Processing

Payments are processed through Stripe, Paystack, or bank transfer. We do not store your full credit card or bank account numbers on our servers. All payment information is handled directly by our payment processors in accordance with PCI-DSS standards. By providing payment information, you authorize us to charge the applicable subscription fees.

4.4 Refunds

Monthly subscriptions may be cancelled at any time and will remain active until the end of the current billing period. No pro-rata refunds are issued for partial months. Annual subscriptions are eligible for a full refund within the first 14 days of the initial subscription or renewal. After the 14-day window, annual subscriptions are non-refundable but will remain active until the end of the annual term.

4.5 Failed Payments

If a payment fails, we will attempt to process it again up to three times over a 10-day period. If all attempts fail, your account will be downgraded to a read-only state. You will have 30 days to update your payment method before your account data is archived in accordance with our data retention policy.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

• Use the Service to process, store, or transmit data that you do not have the legal right to access or use.
• Attempt to gain unauthorized access to any portion of the Service, other user accounts, or any systems or networks connected to the Service.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service or any underlying algorithms, including the intelligence engine scoring methodologies.
• Use automated scripts, bots, scrapers, or similar tools to access the Service in a manner that exceeds reasonable usage or places undue burden on our infrastructure.
• Resell, sublicense, or redistribute the Service or any data derived from the Service without our prior written consent.
• Interfere with or disrupt the integrity or performance of the Service.
• Use the AI insights feature to generate content that is misleading, fraudulent, or intended to deceive stakeholders about the financial health of your business.
• Share account credentials with individuals outside your organization.

We reserve the right to investigate and take appropriate action, including suspension or termination of your account, for any violation of this section.

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including all software, algorithms, intelligence engines, user interfaces, designs, text, graphics, logos, trademarks, and documentation, is the exclusive property of ERPRev Dashboard ProMax and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes during the term of your subscription.

6.2 Your Data

You retain all ownership rights to the data you provide to the Service or that is retrieved from your ERPRev system ("Your Data"). You grant us a limited license to process, cache, and analyze Your Data solely for the purpose of providing the Service to you. We will not sell, share, or use Your Data for any purpose other than delivering and improving the Service for your account.

6.3 Aggregated Data

We may generate anonymized, aggregated statistical data derived from the use of the Service ("Aggregated Data") that does not identify you, your business, or any individual. We own all rights to Aggregated Data and may use it for product improvement, benchmarking, and research purposes.

6.4 Feedback

If you provide suggestions, feature requests, or other feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use and incorporate such feedback into the Service without obligation to you.

7. Data Privacy

Your privacy is important to us. Our collection, use, and protection of personal information is governed by our Privacy Policy, which forms an integral part of these Terms. Key commitments include:

• Your ERPRev API credentials are encrypted at rest using AES-256-GCM encryption and are never stored in plaintext.
• Your business data is stored in a per-tenant isolated MariaDB schema and is not shared with other users.
• AI-generated insights are produced on-demand and are not used to train third-party models.
• We implement industry-standard security measures as detailed in our Security Policy.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, we do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free.
• The intelligence scores, forecasts, anomaly detections, or any AI-generated insights will be accurate, complete, or reliable for any particular business decision.
• The data retrieved from your ERPRev system will be complete or free from errors originating in the source system.
• The Service will meet your specific business requirements or expectations.

The intelligence scores, alerts, forecasts, and AI insights provided by the Service are analytical tools intended to assist your decision-making. They do not constitute financial, legal, tax, or professional advice. You are solely responsible for any business decisions you make based on information from the Service.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ERPREV DASHBOARD PROMAX, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless ERPRev Dashboard ProMax and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) any data you submit to or retrieve through the Service.

11. Termination

11.1 Termination by You

You may cancel your subscription and terminate your account at any time through your account settings or by contacting us at support@erprevpromax.com. Upon cancellation, your access will continue until the end of your current billing period.

11.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice, if: (a) you breach any provision of these Terms; (b) your payment method fails and is not updated within the grace period; (c) we are required to do so by law; or (d) we reasonably believe your account is being used for fraudulent or illegal activities.

11.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. You may request an export of Your Data within 30 days of termination by contacting us. After the 30-day period, we will delete Your Data in accordance with our data retention policy, except where retention is required by law. Your ERPRev API credentials stored on our platform will be permanently deleted upon account termination.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall first be addressed through good-faith negotiation between the parties for a period of at least 30 days. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in accordance with the rules of a recognized arbitration body in Lagos, Nigeria. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

13. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will: (a) update the "Last updated" date at the top of this page; (b) notify you via email to the address associated with your account; and (c) display a prominent notice within the Service. Material changes will take effect 30 days after notification. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms.
